Terms of Service

Welcome to M&P Digital Agency. A brand of MandP Supply LLC ("we", "the Agency"). These Terms of Service ("Terms") govern your use of our website and engagement for our digital infrastructure and consulting services. By accessing or using our services, you ("the Client") agree to be bound by these Terms in full.

1. Services

The Agency shall provide the services described in the specific proposal or agreement signed with the Client. We strive to provide high-quality solutions, but we do not guarantee specific economic results (sales, ROI) as these depend on multiple market factors and Client management.

2. Payments & Billing

FEES: The Client agrees to pay the agreed fees according to the payment schedule. Payments are non-refundable once service provision has commenced, except as stipulated in our Refund Policy.

LATE PAYMENTS: We reserve the right to suspend services or pause access to infrastructure if payments are not received by the due date.

3. Intellectual Property

DELIVERABLES: Upon full payment, the Client shall own the rights to the final deliverables (specific configurations, copy, creatives) created specifically for their project.

RESERVED RIGHTS: The Agency retains ownership of its "know-how," methodologies, pre-existing code, internal tools, and frameworks used to create the deliverables. The Client receives a non-exclusive license to use these tools as part of their infrastructure.

4. Client Obligations

The Client agrees to provide truthful information, timely access to necessary platforms, and quick feedback to enable project execution. The Agency shall not be liable for delays caused by the Client's lack of response.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANDP SUPPLY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS). OUR TOTAL AGGREGATE LIABILITY IS LIMITED TO THE AMOUNT PAID BY THE CLIENT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

6. Indemnification

The Client agrees to indemnify and hold harmless MandP Supply LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from the Client's misuse of the services, violation of these Terms, or infringement of third-party rights.

7. Termination

Either party may terminate the relationship with prior written notice as stipulated in the service agreement. In the event of termination by the Client without cause, no refunds will be issued for services already paid for or executed.

8. Force Majeure

Neither party shall be liable for failures or delays in performance due to causes beyond their reasonable control, including natural disasters, government acts, internet failures, or acts of war.

9. Dispute Resolution

We believe in building strong, long-term relationships. In the event of any dispute or disagreement, both parties agree to first attempt to resolve the matter amicably and in good faith through direct negotiation for a period of at least thirty (30) days.

If the dispute cannot be resolved amicably, it shall be submitted to binding arbitration in accordance with standard business practices in the United States.
